Design Terms & Conditions


All graphic and web design deliverables commissioned and/or created by Cocoa & Co. are subject to the following terms and conditions. Please ensure you understand the following terms and conditions before commissioning any project and/or work. If you have any questions about anything contained in these terms and conditions please connect with us for clarification prior to booking services. By booking services, you as a client are automatically entering a legally binding contract for services and are agreeing to these terms and conditions.

1. Communication

Cocoa & Co.  can be reached via email and phone. Our creative team will endeavor to get back to you within 3 business days during our office hours. Feel free to leave a detailed voicemail if you call during our off-hours or we’re in the creative zone and can’t get to the phone. 

2. Design ownership

Any design concepts that are sent to you during the design process are owned and copyrighted by Cocoa & Co. All draft/proposal/preliminary designs are not to be reproduced, shared, posted to social media by you, the client, or any third-parties. Once a design is approved and fully paid for, you, the client, will be permitted to use the final deliverables as stated in the service invoice/contract/agreement. The source files/working files/design files are not included and Cocoa & Co. may deny your request for the source files. Unused design concepts/work remain the property of Cocoa & Co. and may be used for other clients in the future. If a client terminates their business for any reason and no longer uses the designs created for their business, after a period of three (3) months since the termination of services with Cocoa & Co. , Cocoa & Co. has the right to recycle the designs if desired. Cocoa & Co.  retains ownership and usage rights of completed projects as examples in their design portfolio and marketing materials. 

3. Edit Requests

The design fee includes the specified number of revisions in the service/package chosen. Additional revisions or edits are charged hourly.

4. Approval of Designs

Whilst Cocoa & Co.  works hard to avoid errors, Cocoa & Co. is not responsible for any spelling, grammatical, typographical errors, omissions or incorrect information in the final product/deliverables. It is the client’s responsibility to thoroughly check all proofs and give their approval via email and/or in-person before the final work will be released to the client and/or sent to print upon all stipulated payments have been received. Any changes that are required post approval will incur an additional re-print and/or design fee to cover the time it takes to make the changes and/or reproduce the printed deliverables. 

5. File Supply

Logo files are supplied electronically to the client in print and web-friendly formats. Please review your service agreement/invoice for file details or confirm via email. Any ordered print files will be supplied as high resolution PDFs with crop marks and bleed. If other file types are required please specify when asking for a quote, if unsure of file type requirements please explain your final usage. All original artwork and source files remain the property of Cocoa & Co. All supplied artwork can only be used for its intended purchase by you, the client. Supplied artwork may not be altered, share, traded or sold. 

6. File Storage

Our team recommends you download and store any files sent to you in your own secure Cloud storage system. Any links to files sent to you are temporary and purely for you to gain access to your files. After seven (7) days the digital download link to your deliverables will expire. Clients need to request via email any additional download links. 

7. Cancellations / Refunds

Clients and Cocoa & Co. may determine to cancel a design job/project at any time, if the design work/relationship is thought to be unsatisfactory by either party. Written confirmation is required for any cancellation. All deposits/retainers are non-refundable. If a design project is canceled by the client prior to project completion a pro-rata payment may be applicable on any project that is more than 50% complete (as determined by Cocoa & Co.) for time spent on the project before the cancellation notice was received. In the event of project cancellation Cocoa & Co.  retains ownership of all original artwork, source files, design files and therefore cannot be reproduced, shared, posted to social media, used by client or any third-party.

8.Privacy Policy

Your privacy is important. Cocoa & Co. values your privacy and brand/company details. Any information supplied to Cocoa & Co. during the design process will be solely used for that purpose. Your email address may be added to the Cocoa & Co. mailing list in order to keep you up-to-date on Cocoa & Co. updates and availability around busy periods. You are welcome to unsubscribe from this list at any time.

9. Acceptance of Terms and Conditions

Acceptance of these terms is automatically activated once a service agreement has been signed and/or invoice payment - a partial/deposit/retainer payment or full payment.
